Annual meetings from a company perspective

If you’ve ever wondered how companies view and prepare for annual shareholder meetings, Business First of Louisville offered a great article this weekend after interviewing officials at Texas Roadhouse, Humana, and ResCare.

Subscription is required, so let me pass along two juicy items:

  • Texas Roadhouse noted that last year’s annual meeting lasted 7 minutes.  Yes, the entire meeting.  I have attended annual meetings where one single chart was discussed for 10 minutes.  I have been present when one single shareholder held court for 10 minutes (thank you, Evelyn Y. Davis).  Imagine showing up 6 1/2 minutes late, only to catch the thank yous and goodbyes.  According to Texas Roadhouse official, not a single question has been asked during the shareholder Q&A in the last 3 years.
  • A Humana official sounded surprised that a “group of nuns” had put forth a shareholder proposal one year.  Oh, the nerve of those women.  Hopefully Humana refused to give in to that meddling posse.

For those interested, Humana is holding its shareholder meeting on April 24th.  Texas Roadhouse follows up on May 22nd, and ResCare on June 27th.  All meetings will be held in Louisville, KY.
